Terms of service
Last updated September 25, 2026. The terms on which the portal is provided, in plain language.
The service
The portal is provided by HyperNerd Inc., 2910 W. Magnolia Blvd, Burbank, CA 91505, USA ("we", "us"), to the design firm that holds the account (the "firm"). If you use the portal, you do so on the firm's behalf or at its invitation, and these terms apply to you.
Your account
Keep your sign-in to yourself. Sign-in links and codes are for you alone. Tell the firm at once if you think someone else has used your account. The firm decides who has access and what each person may do.
What you may do
Use the portal for the firm's business. Do not upload material you have no right to share, do not try to reach records you were not given access to, do not probe or overload the service, and do not use it for anything unlawful.
Your content
The firm owns the project records in its portal. By adding content you confirm you may do so. We store and process it only to provide the service. We do not claim ownership of it.
Fees and billing
Paid plans are priced per seat, monthly or yearly, at the prices on the pricing page when the firm subscribes. A seat is a person on the firm's team who signs in; clients, contractors and vendors are never seats. Seats and file room can be added or removed at any time: additions are prorated to the day, reductions take effect at the next renewal, and the firm is emailed before every renewal. Extra AI actions are bought up front, never billed after use: they are used once the month's included ones are, lapse twelve months after purchase, and are not refundable. The free plan — one seat, three projects, 5 GB — has no time limit and needs no card. Fees are collected through our payment provider. The firm may cancel from its billing page; what then happens to its data is described under Ending.
Availability
We aim to keep the portal running and will tell the firm about planned maintenance. We may suspend access to protect the service or the law. We may change features; where a change removes something the firm relies on, we give notice.
Third parties
Where the firm connects a payment platform, an accounting system, an email provider, a calendar or a chat workspace, or switches on the assistant, those services are governed by their own terms; the portal passes information to them on the firm's instructions and never holds client payments. Each provider is named on the security page.
No warranty; limits
The portal is provided as it is. Figures it calculates are only as good as what was entered; check documents before they go to a client or vendor. To the extent the law allows, we are not liable for indirect or consequential loss, and our total liability to the firm for all claims together is limited to the fees the firm paid us in the twelve months before the claim.
Ending
The firm may close its portal at any time by writing to us; we keep its data for thirty days so it can be exported or the closure undone, then delete it from the service; the nightly off-site backups that still hold it are used only to recover the service after a fault, and go as the backup history is trimmed. We may end access for a breach of these terms.
Law
These terms are governed by the laws of the State of California, with any dispute heard in the state or federal courts sitting in Los Angeles County. Questions to [email protected].
Personal data
Where the firm’s records hold personal data, the data processing agreement forms part of these terms; the measures behind it are described on the security page.
Backups and recovery
Every portal is backed up nightly — the whole database and the uploads (a library imported from another system is copied off-site file by file as well) — kept off-site on Cloudflare R2 night by night, with the latest night also on the server, and restores are rehearsed weekly on a scratch database. If the service is lost, our target is to have every portal back within four hours from the fault being reported, with data as of the last nightly backup — up to one day of changes. The firm can take a copy of all its records at any time from Settings.
